Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Reactify Labs (OPC) PVT LTD ("Reactify Labs", "we", "our", or "us") regarding your use of our website www.reactifylabs.in and our software development services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Reactify Labs provides the following services:

• MVP Development and rapid prototyping
• Custom Software Development (HMS, PMS, CRM, etc.)
• Web and Mobile Application Development
• Generative AI Integration and implementation
• Technical consulting and support services
• Digital transformation solutions

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Respect intellectual property rights
• Comply with all applicable laws and regulations
• Provide timely feedback and approvals during project development
• Make payments according to agreed terms

Prohibited Uses

You may not use our services to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Engage in fraudulent or deceptive practices
• Attempt to gain unauthorized access to our systems
• Reverse engineer or copy our proprietary solutions

Project Scope

Each project will be governed by a separate project agreement or statement of work that outlines specific deliverables, timelines, and payment terms. The project agreement will supplement these Terms of Service.

Development Process

• Projects typically follow an agile development methodology
• Regular updates and milestone reviews will be conducted
• Client feedback and approvals are required at specified stages
• Changes to project scope may affect timeline and costs

Delivery and Acceptance

Deliverables will be considered accepted unless you provide written notice of non-conformance within 7 business days of delivery. Acceptance of deliverables triggers payment obligations as specified in the project agreement.

• Payment terms will be specified in individual project agreements
• All fees are exclusive of applicable taxes unless otherwise stated
• Late payments may incur interest charges at 1.5% per month
• Work may be suspended for overdue payments
• Refunds are subject to the terms of individual project agreements
• Disputed charges must be reported within 30 days

Client-Owned IP

Upon full payment, clients will own the intellectual property rights to custom-developed solutions, excluding our pre-existing tools, frameworks, and methodologies.

Reactify Labs IP

We retain ownership of our proprietary tools, frameworks, methodologies, and pre-existing intellectual property used in delivering services.

Third-Party Components

Solutions may incorporate third-party components subject to their respective licenses. We will inform you of any significant third-party dependencies.

We maintain strict confidentiality regarding client information and project details. We may enter into separate non-disclosure agreements (NDAs) for additional protection of sensitive information.

Both parties agree to protect confidential information and use it only for the purposes of the agreed services.

Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimers

EXCEPT AS EXPRESSLY STATED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

• Post-delivery support terms will be specified in project agreements
• Bug fixes for critical issues are typically provided at no additional cost
• Feature enhancements and modifications may require separate agreements
• Response times vary based on issue severity and support level
• Long-term maintenance agreements are available separately

Either party may terminate these Terms or any project agreement with written notice as specified in the individual agreement. Upon termination:

• You remain responsible for payment of services rendered
• We will provide deliverables completed up to the termination date
• Confidentiality obligations survive termination
• Both parties will return or destroy confidential information as requested

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation by a mutually agreed mediator
3. Arbitration under the Indian Arbitration and Conciliation Act, 2015
4. Jurisdiction of courts in Delhi, India for any legal proceedings

We may update these Terms from time to time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
